Welcome to Arclight Dynamics LLC (“Arclight Dynamics,” “Company,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern the use of our website, www.arclightcnc.com (the “Site”), the purchase and use of products, equipment, parts, software, accessories, training, technical support, and other goods or services provided by Arclight Dynamics, and participation in our SMS messaging services.
By accessing or using the Site, submitting an order, accepting a quotation, purchasing or using our products or services, or opting into our SMS services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are purchasing products or services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
1. General Terms
All quotations, orders, purchases, sales, products, and services provided by Arclight Dynamics are subject to these Terms, together with any applicable written quotation, sales order, warranty, return policy, financing agreement, software license, or other written agreement issued or expressly accepted by Arclight Dynamics.
In the event of a conflict between these Terms and a separately executed written agreement signed by an authorized representative of Arclight Dynamics, the separately executed written agreement will control to the extent of the conflict.
By using this Site, you agree not to engage in any unlawful activities or use the Site, our products, services, intellectual property, or content in violation of applicable law.
Arclight Dynamics reserves the right to revise or update these Terms from time to time. Changes will become effective when posted to the Site unless otherwise stated.
2. Quotations, Orders & Acceptance
All quotations are subject to the terms, pricing, specifications, and expiration dates stated in the applicable quotation.
A quotation does not constitute an obligation by Arclight Dynamics to sell until an order has been accepted by Arclight Dynamics. We reserve the right to accept, reject, modify, or cancel an order prior to acceptance.
Customer purchase orders are accepted solely on the condition that these Terms govern the transaction. Any additional, different, or conflicting terms contained in a customer’s purchase order, procurement document, acknowledgment, or other communication are rejected unless expressly agreed to in writing by an authorized representative of Arclight Dynamics.
Changes requested by the customer after acceptance may result in additional charges, revised specifications, and changes to estimated production or delivery schedules.
Custom-configured, special-order, modified, or made-to-order equipment may be noncancelable and nonrefundable once production, procurement, engineering, or fabrication has begun.
3. Pricing, Taxes & Payment
Prices are stated in U.S. dollars unless otherwise specified.
Unless expressly included in a written quotation, prices do not include applicable sales, use, excise, property, import, export, customs, value-added, or similar taxes, duties, tariffs, assessments, freight charges, rigging expenses, installation expenses, or other governmental charges. The customer is responsible for such amounts to the extent permitted by law.
Payment terms are those stated on the applicable quotation, invoice, sales order, or financing agreement.
Arclight Dynamics may require deposits, progress payments, or payment in full prior to shipment. Deposits on custom-built or configured machinery may become nonrefundable once production or procurement begins.
Arclight Dynamics may suspend production, shipment, technical services, or other performance if payments are past due.
Customer is responsible for reasonable costs associated with collection of delinquent amounts to the extent permitted by applicable law.
4. Product Specifications & Manufacturing Changes
Arclight Dynamics manufactures and supplies industrial machinery, CNC plasma cutting systems, accessories, replacement parts, software-related products, and associated equipment.
Product photographs, illustrations, specifications, dimensions, weights, performance data, videos, marketing materials, and other descriptions are intended to provide general product information.
We continually improve our products and reserve the right to make reasonable changes to designs, specifications, components, suppliers, materials, software, construction methods, or product configurations without prior notice, provided such changes do not materially impair the primary intended functionality of the product.
Actual product appearance or configuration may vary from photographs, renderings, demonstrations, or previously manufactured equipment.
5. Delivery, Freight & Risk of Loss
Production and delivery dates are estimates unless Arclight Dynamics expressly agrees otherwise in writing.
Arclight Dynamics is not responsible for delays caused by circumstances outside its reasonable control, including supplier delays, transportation delays, material shortages, labor disruptions, governmental actions, natural disasters, severe weather, utility interruptions, carrier delays, or other force majeure events.
Shipping, freight, insurance, unloading, rigging, and related charges are the customer’s responsibility unless expressly stated otherwise in writing.
Title and risk of loss will transfer in accordance with the shipping terms stated on the applicable quotation, sales order, or invoice and applicable law.
Customers are responsible for inspecting shipments promptly upon delivery. Visible freight damage should be documented with the carrier before acceptance whenever reasonably possible. Concealed freight damage should be reported promptly after discovery in accordance with applicable carrier claim requirements.
Failure to promptly inspect or document freight damage may affect the customer’s ability to recover against the carrier.
6. Site Preparation, Installation & Customer Responsibilities
Unless expressly included in a written quotation or agreement, the customer is responsible for all site preparation required for installation and operation of equipment.
This may include, as applicable:
- Adequate electrical service and proper electrical connections;
- Compressed air and gas supplies;
- Ventilation, exhaust, downdraft, water-table, or fume-control requirements;
- Suitable flooring, foundations, anchoring, and working clearances;
- Material-handling and rigging equipment;
- Network or computer infrastructure;
- Plasma power supplies and related consumables;
- Compliance with applicable building, electrical, fire, environmental, workplace-safety, and occupational regulations; and
- Any permits, inspections, approvals, or licenses required at the customer’s location.
Electrical, gas, ventilation, rigging, and other regulated work should be performed by appropriately qualified or licensed professionals where required.
Additional costs incurred because a customer site is not properly prepared may be charged to the customer.
7. Equipment Operation & Safety
Arclight Dynamics equipment is industrial machinery and must be installed, maintained, and operated by appropriately trained personnel in accordance with applicable manuals, safety instructions, warning labels, and applicable laws and regulations.
The customer is responsible for ensuring that operators receive appropriate training and that all required guards, personal protective equipment, ventilation systems, fume-control systems, fire-prevention measures, emergency procedures, and other safety measures are implemented and maintained.
The customer must not bypass, defeat, disable, or improperly modify safety devices, interlocks, guards, emergency stops, warning systems, or other safety-related components.
Customer assumes responsibility for the safe integration of Arclight Dynamics equipment into the customer’s facility, manufacturing processes, automation systems, and work environment.
8. Training & Technical Support
Training, installation assistance, and technical support may be provided according to the scope purchased by the customer or otherwise offered by Arclight Dynamics.
Technical support recommendations are based on information provided by the customer and information reasonably available to Arclight Dynamics at the time.
Remote technical support cannot substitute for proper onsite inspection, maintenance, professional electrical work, machine guarding, or compliance with applicable safety requirements.
Arclight Dynamics may require customers to perform reasonable diagnostic procedures, provide photographs or videos, collect machine information, inspect components, or perform other troubleshooting steps before replacement parts or onsite service are authorized.
9. Third-Party Products, Components & Software
Certain Arclight Dynamics products may incorporate or operate with components, equipment, consumables, software, controls, plasma power supplies, computers, drives, motors, electronics, or other products manufactured or supplied by third parties.
Third-party products may be subject to separate warranties, license agreements, limitations, and support policies provided by their respective manufacturers.
To the extent permitted by law, Arclight Dynamics is not responsible for defects, outages, incompatibilities, modifications, discontinued functionality, cybersecurity vulnerabilities, licensing changes, or other issues caused solely by third-party products or services outside Arclight Dynamics’ reasonable control.
10. Warranty
Arclight Dynamics products are covered only by the written warranty applicable to the product at the time of purchase.
Warranty coverage, duration, exclusions, procedures, remedies, and limitations are governed by the applicable Arclight Dynamics warranty documentation.
Unless expressly stated in the applicable written warranty, warranty coverage does not include damage or failure resulting from misuse, abuse, neglect, accident, improper installation, improper electrical service, improper grounding, environmental conditions, inadequate maintenance, unauthorized modification, improper repair, failure to follow operating instructions, use outside stated specifications, normal wear, consumable items, or use of incompatible third-party equipment or components.
Warranty service may require reasonable troubleshooting and verification of the claimed defect before repair, replacement, or other warranty remedies are authorized.
11. Disclaimer of Warranties
EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED IN A WRITTEN ARCLIGHT DYNAMICS WARRANTY OR OTHER WRITTEN AGREEMENT, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ARCLIGHT DYNAMICS DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, TO THE EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Arclight Dynamics does not warrant that any particular machine, configuration, process, cutting speed, production rate, consumable life, cut quality, profitability, return on investment, or manufacturing result will meet a customer’s specific requirements unless expressly guaranteed in a written agreement signed by an authorized representative of Arclight Dynamics.
12. Returns & Cancellations
Returns are subject to the Arclight Dynamics return policy in effect at the time of purchase.
No product may be returned without any required prior authorization from Arclight Dynamics.
Returned products may be subject to inspection, restocking charges, return-freight costs, and deductions for damage, use, missing components, or diminished value where permitted by applicable law and the applicable return policy.
Custom-manufactured, custom-configured, special-order, modified, used, clearance, or non-stock products may not be returnable.

14. User Conduct & Restrictions
Users may not misuse the Site, products, services, software, documentation, or other Arclight Dynamics materials.
Users may not attempt to gain unauthorized access to Company systems, interfere with the operation of the Site, introduce malicious code, violate intellectual-property rights, or use Company resources for unlawful purposes.
Unauthorized reproduction, distribution, resale, or commercial exploitation of proprietary Arclight Dynamics software, manuals, documentation, training materials, designs, photographs, videos, or other protected content is prohibited except as authorized by law or written agreement.
15. Intellectual Property
All trademarks, trade names, logos, product names, website content, photographs, videos, drawings, documentation, manuals, software, graphics, designs, and other intellectual property owned by Arclight Dynamics remain the property of Arclight Dynamics or its applicable licensors.
Purchase of an Arclight Dynamics product does not transfer ownership of Arclight Dynamics intellectual property except for any limited rights expressly granted with the product or applicable software.
Nothing in these Terms grants the customer a right to reproduce, reverse engineer, distribute, sublicense, publish, or commercially exploit proprietary Arclight Dynamics materials except to the extent such restriction is prohibited by applicable law.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARCLIGHT DYNAMICS LLC, ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, DISTRIBUTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE PURCHASE, INSTALLATION, OWNERSHIP, USE, INABILITY TO USE, SERVICE, REPAIR, OR PERFORMANCE OF ANY PRODUCT OR SERVICE.
THIS EXCLUSION INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM LOST PROFITS, LOST REVENUE, LOST PRODUCTION, BUSINESS INTERRUPTION, LOSS OF USE, LOSS OF CONTRACTS, LOSS OF BUSINESS OPPORTUNITY, LOSS OR CORRUPTION OF DATA, COST OF SUBSTITUTE EQUIPMENT, LABOR COSTS, DOWNTIME, MATERIAL LOSS, SCRAP, REWORK, OR CLAIMS MADE AGAINST THE CUSTOMER BY THIRD PARTIES, EVEN IF ARCLIGHT DYNAMICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARCLIGHT DYNAMICS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PRODUCT, SERVICE, ORDER, TRANSACTION, OR THESE TERMS, WHETHER BASED IN CONTRACT, WARRANTY, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY, SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO ARCLIGHT DYNAMICS FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION ARE INTENDED TO APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
17. Customer Indemnification
To the extent permitted by applicable law, the customer agrees to defend, indemnify, and hold harmless Arclight Dynamics LLC and its affiliates, officers, employees, representatives, and agents from third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:
- Customer’s misuse or unauthorized modification of equipment;
- Customer’s failure to follow applicable operating or safety instructions;
- Customer’s integration of the equipment into another machine, system, or manufacturing process;
- Customer-created designs, programs, toolpaths, products, or materials;
- Customer’s violation of applicable laws, regulations, or safety requirements; or
- Negligent or wrongful acts or omissions by the customer or its employees, contractors, operators, or agents.
This provision does not require the customer to indemnify Arclight Dynamics for liability to the extent caused by Arclight Dynamics’ own conduct where such indemnification is prohibited by applicable law.
18. Customer-Produced Parts & Applications
Arclight Dynamics provides machinery and related technology capable of manufacturing or processing a wide variety of components.
The customer is solely responsible for determining whether any part, design, component, material, program, toolpath, or finished product produced using Arclight Dynamics equipment is appropriate, safe, lawful, and suitable for its intended application.
Arclight Dynamics does not certify customer-produced components for structural, aerospace, automotive, pressure-vessel, medical, defense, life-safety, or other regulated or safety-critical applications unless expressly agreed to in a separate written agreement.
19. Force Majeure
Arclight Dynamics will not be liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, fires, floods, severe weather, earthquakes, epidemics, pandemics, acts of government, war, terrorism, civil unrest, labor disputes, transportation interruptions, port congestion, supply-chain disruptions, shortages of materials or components, supplier failures, utility interruptions, cyber incidents affecting third-party infrastructure, or other circumstances beyond our reasonable control.
Performance deadlines will be extended for a reasonable period corresponding to the delay.
20. Compliance With Laws
Customers are responsible for operating Arclight Dynamics equipment in compliance with applicable federal, state, provincial, local, and international laws, codes, regulations, and standards.
This includes, where applicable, workplace safety, machine guarding, electrical, fire, environmental, emissions, ventilation, hazardous-material, export-control, and occupational-health requirements.
The customer is responsible for determining the legal and regulatory requirements applicable to its facility and intended use.
21. Export & Resale Compliance
Products may be subject to United States export-control and sanctions laws.
Customers agree not to export, re-export, transfer, sell, or use products in violation of applicable U.S. export-control, sanctions, or trade laws.
Arclight Dynamics reserves the right to refuse or cancel transactions where necessary to comply with applicable law.
22. Website Information
We make reasonable efforts to maintain accurate information on our Site. However, typographical errors, pricing errors, specification errors, outdated information, or other inaccuracies may occasionally occur.
Arclight Dynamics reserves the right to correct errors or omissions and update Site information without prior notice.
Online pricing, promotions, availability, specifications, and configurations are subject to change and do not create a binding sales obligation until an order is accepted by Arclight Dynamics.
23. Privacy
Use of personal information collected through the Site or our services is governed by the Arclight Dynamics Privacy Policy.
Customers and Site users should review the Privacy Policy for information regarding our collection, use, and handling of personal information.
24. Governing Law & Venue
These Terms and any dispute arising out of or relating to these Terms, the Site, products, services, or transactions with Arclight Dynamics shall be governed by the laws of the State of Oregon, without regard to its conflict-of-laws principles.
To the extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms or a transaction with Arclight Dynamics shall be brought in a court of competent jurisdiction located in Oregon, and the parties consent to the jurisdiction of such courts.
25. Severability
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
26. Waiver
Failure by Arclight Dynamics to enforce any provision of these Terms does not constitute a waiver of that provision or of the right to enforce it in the future.
Any waiver must be expressly made in writing by an authorized representative of Arclight Dynamics.
27. Assignment
Customers may not assign or transfer their rights or obligations under an accepted order or these Terms without the prior written consent of Arclight Dynamics.
Arclight Dynamics may assign its rights or obligations in connection with a corporate restructuring, sale of assets, financing transaction, affiliate transaction, or other lawful business transaction.
28. Entire Agreement
These Terms, together with the applicable quotation, accepted sales order, written warranty, return policy, software license, and any other written agreement expressly incorporated into the transaction, constitute the agreement between the parties regarding the applicable purchase or service.
No oral statement, representation, sales presentation, demonstration, email, marketing material, or prior communication modifies these Terms unless expressly incorporated into a written agreement authorized by Arclight Dynamics.
